These terms include several important provisions that affect your rights and responsibilities; please carefully read and understand the following Terms of Use (“Terms”) and any associated initiatives. They govern your use of our Services and expressly cover your rights and obligations, as well as our disclaimers and limitations of legal liability relating to such use.

USERS ACKNOWLEDGE THAT PARTICIPATING IN A DAO INVOLVES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO MARKET VOLATILITY, SMART CONTRACT VULNERABILITIES, REGULATORY UNCERTAINTIES, AND POTENTIAL LOSS OF FUNDS. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND US. PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND AND AGREE TO EVERY PORTION OF THESE TERMS BEFORE USING ANY PART OF THE SERVICE.

_{AMENDMENTS AND UPDATES}

Amendments and Updates: Provisions for amending or updating the Terms of Use, including how changes will be communicated to token holders and members.

We, the Zettahash DAO, may retain the right to modify the Use Terms from time to time at our sole discretion. Any such modifications take effect immediately upon posting. By participating in Zettahash or owning ZH (BVI) Limited ($ZH) tokens, you agree to any modified terms. By continuing to access or use the Services, you confirm your acceptance and agreement to be bound by them. It's your responsibility to review the Company Terms regularly to stay informed about any modified terms.

_{COMMUNICATIONS}

You agree to receive all communications, agreements, documents, receipts, notices, and disclosures electronically (collectively, “Communications”) that we provide in connection with these Terms of Use or any Services. You agree that we may provide our Communications to you by, in our sole discretion, posting them on our website or forums.

_ELIGIBILITY

By accessing and using Zettahash, you represent and warrant to us that:

• You are the legal age in your jurisdiction, with no legal impediment or incapability, and you are capable of participating in Zettahash DAO LLC and ZH (BVI) Limited ($ZH token distribution).
• You have read and understood the risks of participating in Zettahash and are solely responsible for your actions.
• You are not a resident of any restricted territory and have not used any technical means to misrepresent its geographical location to access and use Zettahash from any restricted territory.

Your access to Zettahash may be restricted based on your jurisdiction or geographical location. You must not use Zettahash if you are located in or a citizen or resident of any state, country, territory, or other jurisdiction in which using Zettahash would be illegal or otherwise violate any applicable law (a "Restricted Territory").

We reserve the right to restrict access to any Restricted Territory and may implement technical controls to prevent access to Zettahash from any Restricted Territory, including, but not limited to, Algeria, Bangladesh, Bolivia, Belarus, Myanmar (Burma), Côte d’Ivoire (Ivory Coast), Egypt, Republic of Crimea, Cuba, Democratic Republic of the Congo, Iran, Iraq, Liberia, Libya, Mali, Morocco, Nepal, North Korea, Kuwait, Oman, Qatar, Somalia, Sudan, Syria, Tunisia, Russian Federation, United States, Canada, Venezuela, Yemen, Zimbabwe, or any jurisdictions in which the sale of cryptocurrencies are prohibited, restricted or unauthorized in any form or manner whether in full or in part under the laws, regulatory requirements or rules in such jurisdiction; or any state, country, or region that is subject to sanctions enforced by the United States, such as the Specially Designated Nationals and Blocked Persons List (“SDN List”) and Consolidated Sanctions List (“Non-SDN Lists”), the United Kingdom, or the European Union (collectively, “Restricted Territories”);

You represent that your access and use of Zettahash will fully comply with all applicable laws and regulations. You will not access or use Zettahash to conduct, promote, or otherwise facilitate any illegal activity.

_RISKS

By participating in Zettahash DAO, all members agree to abide by this Conflict of Interest Policy and to act in the best interest of the DAO and its community at all times.

• You understand that blockchain networks use public and private key cryptography.

• You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems such as Ethereum are variable and may increase dramatically at any time. ​
• You understand and agree to assume full responsibility for all risks of accessing and participating in Zettahash DAO.
• You understand that blockchain networks use public and private key cryptography.
• You understand that blockchain networks use public and private key cryptography.
• You alone are responsible for securing your private key(s). We do not have access to your private key(s). Losing control of your private key(s) will permanently and irreversibly deny you access to digital assets on the Ethereum blockchain or other blockchain-based networks. If your private key(s) are lost, you cannot transfer your digital assets to any other blockchain address or wallet. If this occurs, then you will not be able to realize any value or utility from the digital assets that you may hold.
• You understand that blockchain networks use public and private key cryptography.
• By using Zettahash, you represent and warrant that you have been, are, and will be solely responsible for making your independent appraisal and investigations into the risks of a given transaction and the underlying digital assets, including smart contracts. You represent that you have sufficient knowledge, market sophistication, professional advice, and experience to evaluate the merits and risks of any transaction connected with Zettahash.
• You hereby acknowledge and agree that we are not responsible or liable for the risks set forth in this Section or inherent to participating in Zettahash.
• You hereby irrevocably waive, release, and discharge all claims, whether known or unknown to you, against us and our shareholders, Elected Members, representatives, contractors, and suppliers related to any of the risks outlined in this Section or inherent to the use of Zettahash.
• You understand and agree to assume full responsibility for all risks of accessing and participating in Zettahash DAO.
• You should obtain independent advice about the different types of services available in both your home jurisdiction and other relevant jurisdictions before using Zettahash. If your country of residence imposes restrictions on digital assets, we may be required to discontinue your access to Zettahash. We may not be permitted to transfer digital assets or permit the transfer of digital assets as a consequence of a judicial or administrative order or regulatory environment.
• You are responsible for all taxes regarding any gains obtained by using Zettahash. Before using our services, you should understand the tax implications of acquiring, entering, holding, and disposing a digital asset. You should consult your independent tax advisor to understand the relevant tax implications of your activities.

YOU UNDERSTAND THAT THE USE OF Zettahash DAO IS EXPOSED TO REGULATORY AND LEGAL RISK AND THAT THE REGULATORY FRAMEWORK OF DIGITAL ASSETS MAY CHANGE OR VARY ACCORDING TO EACH JURISDICTION. THE EFFECT OF REGULATORY LEGAL RISK MAY AFFECT THE VALUE OF ANY DIGITAL ASSET. THE LAWS OF VARIOUS JURISDICTIONS MAY APPLY TO DIGITAL ASSETS. APPLYING THESE LAWS AND REGULATIONS TO DIGITAL ASSETS IS UNTESTED, AND LAWS AND REGULATIONS ARE SUBJECT TO CHANGE WITHOUT PRIOR NOTICE. AS A RESULT OF REGULATION AND LEGISLATION AROUND DIGITAL ASSETS, Zettahash MAY BECOME OR NOT BE AVAILABLE IN CERTAIN JURISDICTIONS.

_PRIVACY

_{PROHIBITED ACTIVITIES}

You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activities in connection to your access and use of Zettahash:

• Activities that infringe on or violate any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under any law or jurisdiction.
• Activities that seek to defraud Zettahash or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information to obtain the property of another unlawfully.
• Activities that seek to defraud Zettahash or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information to obtain the property of another unlawfully.
• Activities that violate any applicable law, rule, or regulation concerning the trading of securities or derivatives, including (but not limited to) the unregistered offering of securities and the offering of leveraged and margin commodity products to retail customers in any applicable jurisdiction.

_{PROPRIETARY RIGHTS}

• The Zettahash DAO owns the intellectual property and other rights associated with our services provided under the Zettahash website: www.zettahash.org, including, but not limited to, proprietary software, text, images, trademarks, service marks, copyrights, patents, and designs.
• Any Zettahash trademarks, names, logos, and other marks used in Zettahash as part of the Zettahash website: www.zettahash.org, are trademarks owned by the Zettahash DAO. You may not copy, imitate, or use such trademarks without our or the applicable licensor's prior written consent.
• You acknowledge that certain aspects of the Zettahash applications may use, incorporate, or link to specific open-source components and that your use of the services is subject to and will comply with any applicable open-source licenses that govern any such open-source components.
• Excluding third-party software that our services incorporate, the Zettahash DAO owns the services and all portions thereof, including all technology, content, and other materials used, displayed, or provided on or in connection with the services, including all intellectual property rights therein and thereto, whether or not subject to the open-source licenses, and hereby grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use those portions of the Services that are proprietary and not available under the open-source licenses.

_{CHANGES AND SUSPENSION}

Changes to Services - We may, at our sole discretion, from time to time and without prior notice to you, modify, suspend, or disable, temporarily or permanently, the Services, in whole or in part, for any reason whatsoever.

No Liability - We will not be liable for any losses suffered by you resulting from any modification to any Services or from any suspension or termination, for any reason, of your access to all or any portion of the Services.

Unforeseen conditions under which the DAO or its activities may be terminated or dissolved, and the process for winding down.

_{INDEMNIFICATION}

You will defend, indemnify, and hold Zettahash harmless, including Zettahash Associations, its Affiliates, and its Affiliates' respective shareholders, Elected Members, Hashers, attorneys, agents, representatives, suppliers, and contractors (collectively, "Indemnified Parties") from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost or expense, including without limitation reasonable attorneys' fees, arising out of or relating to:

• Your use of, or conduct in connection with, Zettahash;
• Ethereum Blockchain assets associated with your Ethereum Address;
• Any feedback or user content you provide to Zettahash, if any;
• Your violation of these Terms; or
• Your infringement or misappropriation of the rights of any other person or entity.

If you are obliged to indemnify any Indemnified Party, we will have the right, at our sole discretion, to control any action or proceeding and to determine whether we wish to settle and, if so, on what terms.

To the maximum extent permitted under Applicable Law, the Services (and any of their content or functionality) provided by or on behalf of us are provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim, and you waive, any representations, conditions or warranties of any kind, whether express or implied, legal, statutory or otherwise, or arising from statute, otherwise in law, course of dealing, or usage of trade, including, without limitation, the implied or legal warranties and conditions of merchantability, merchantable quality, quality or fitness for a particular purpose, title, security, availability, reliability, accuracy, quiet enjoyment and non-infringement of third party rights. Without limiting the foregoing, we do not represent or warrant that the Services (including any data relating thereto) will be uninterrupted, available at any particular time, or error-free. Further, we do not warrant that errors in the Services are correctable or will be correctable.

• Zettahash is accurate, complete, current, reliable, uninterrupted, timely, secure, or error-free. Information (including, without limitation, the value or outcome of any transaction) available through Zettahash is provided for general information only and should not be relied upon or used as the sole basis for making decisions. Any reliance on Zettahash information is at your own risk;
• You expressly acknowledge that the Indemnified Parties are not liable for loss or damage caused by another user's conduct, unauthorized actors, or any unauthorized access to or use of Zettahash, including the DAOs, its users, and promoters;
• Viruses, worms, trojan horses, time bombs, cancelbots, spiders, malware, denial of service attacks or other types of malicious code may be used to affect the functionality or operation of Zettahash.

_{LIMITATION OF LIABILITY}

To the maximum extent permitted under Applicable Law, the Services (and any of their content or functionality) provided by or on behalf of us are provided on an “AS IS” and “AS AVAILABLE” basis. _{EXCLUSION OF CONSEQUENTIAL AND RELATED DAMAGES}

In no event shall we (together with our Affiliates, including our and our Affiliates’ respective tokenholders, elected members, hashers, directors, officers, employees, attorneys, agents, representatives, suppliers or contractors) be liable for any incidental, indirect, special, punitive, consequential or similar damages or liabilities whatsoever (including, without limitation, damages for loss of data, information, revenue, goodwill, profits or other business or financial benefit) arising out of or in connection with the Services (and any of their content and functionality), any performance or non-performance of the Services, ZH Token, or any other product, service or other item provided by or on behalf of us, whether under contract, tort (including negligence), civil liability, statute, strict liability or under any other theory of liability, and whether or not we have been advised of, knew of or should have known of the possibility of such damages and notwithstanding any failure of the essential purpose of these Terms of Use or any limited remedy hereunder.

_{GOVERNING LAW}

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Marshall Islands (RMI).

_{MISCELLANEOUS}

• Remedies - Any right or remedy of Zettahash DAO set forth in these Terms of Use is in addition to, and not in lieu of, any other right or remedy, whether described in these Terms of Use and terms incorporated by reference herein, under Applicable Law, at law or in equity.
• Affiliates and Contractors - The Services may be operated or provided by us, our Affiliates, or our or our Affiliates’ respective subcontractors. To the extent that one of our Affiliates or subcontractors is operating or providing any Services, the Affiliate or subcontractor’s provision of such Services will be under terms identical to these Terms, substituting the Affiliate or subcontractor’s name wherever we are referenced in these Terms of Use.
• Non-waiver - Our failure or delay in exercising any right, power, or privilege shall not operate as a waiver thereof.
• Severability - The invalidity or unenforceability of any of these Terms of Use shall not affect the validity or enforceability of any other of these Terms of Use, all of which shall remain in full force and effect.
• Force Majeure - We will have no responsibility or liability for any failure or delay in the performance of the Services or any loss or damage that you may incur due to any circumstance or event beyond our control, including without limitation any flood, extraordinary weather conditions, earthquake, or other act of God, fire, war, insurrection, riot, labor dispute, accident, the action of government, communications, power failure, or equipment or software malfunction.
• No Broker, Legal, or Fiduciary Relationships – Zettahash DAO is not a provider of a broker, legal, intermediary, agent, or advisory services and has no fiduciary relationship or obligation to you regarding any of your decisions or activities that you affect when using the Services. Neither our communications nor any information we provide to you is intended as or shall be considered or construed as advice.
• Headings—Section headings are for convenience only and shall not be used to limit or construe such sections.
• Entire Agreement - These Terms contain the entire agreement and supersede all prior and contemporaneous understandings between the parties regarding the Services.

• You will not use Zettahash for illicit purposes, such as laundering criminal proceeds, funding or planning crimes, supporting terrorism, or engaging in unlawful trade.
• You will avoid using Zettahash token in ways that could harm, disable, overload, or impair the Company or that are prohibited by these Terms.
• You will adhere to all relevant laws, including but not limited to those related to securities, capital markets, anti-money laundering, counter-terrorism, consumer protection, and financial promotion.

_{Risk of Blockchain Technology Usage}

• You understand that blockchain networks use public and private key cryptography.

_{Volatility of Cryptocurrencies}

• You are aware that cryptocurrencies and related blockchain technologies are highly volatile due to various factors, including adoption levels, speculation, regulatory shifts, technology advancements, and security risks. Modifications in associated networks could lead to abrupt changes in the value or usability of your crypto assets. You recognize these risks and agree that the Company is not responsible for such risks and the associated consequences.

Zettahash's services are intricate and entail significant risks, making them unsuitable for individuals lacking the requisite knowledge and experience in handling crypto assets. The Company is not responsible for determining whether its services are suitable for users. Any comments or statements from the Company regarding the appropriateness of its services for users should not be interpreted as investment or legal advice and should not be relied upon as such.

Cryptocurrencies and blockchain technologies are under close examination by various regulatory authorities globally. The operations of the Zettahash token could be affected by one or more regulatory investigations or measures, including but not limited to limitations on the use of crypto assets. The Company and its third-party service providers have implemented and maintain commercially reasonable technical and organizational security measures with the objectives to: (a) ensure the security and confidentiality of your data; (b) guard against foreseeable threats or hazards to the security or integrity of your data; (c) prevent unauthorized access or use of your data. Despite these efforts, the possibility that unauthorized entities might breach these defenses to misuse your data cannot be completely ruled out. By accessing and using the Zettahash token, you acknowledge and accept that you do so at your own risk. The potential for significant financial loss in the value of held and traded crypto assets is a considerable risk.

• You agree to release and to indemnify, defend, and hold harmless the Company and its parents, subsidiaries, affiliates, and agencies, as well as officers, directors, employees, shareholders, and representatives of any of the foregoing entities, from and against any and all losses, liabilities, expenses, damages, costs (including attorneys’ fees and court costs), claims, or actions of any kind whatsoever arising or resulting from your use of the Zettahash token, your violation of these Terms of Service, and any of your acts or omissions that implicate publicity rights, defamation, or invasion of privacy. The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and, in such case, you agree to cooperate with the Company in the defense of such matter.

• Your use of the Zettahash token is at your own risk. In no event will the Company be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Zettahash token, the delay or inability to use Zettahash or otherwise arising in connection with Zettahash whether based on contract, tort, strict liability or otherwise, even if advised of the possibility of any such damages. You expressly understand and agree that your use of the Zettahash token is at your sole risk. Zettahash is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You acknowledge that the Company has no control over and no duty to take any action regarding: which users gain access to or use Zettahash; which third-party websites and services you use with the help of or via the software and the services; how you may use Zettahash; or what actions you may take with the help of the Zettahash token.

• Unless the contrary is specifically provided in these Terms, any notice, instruction, request, or other communication to be given to us by users under these Terms shall be in writing and shall be sent to the email address below (or to any other address which we may from time to time specify to users for this purpose) and shall be deemed delivered only when actually received by us at: Zettahash,

• In the event that the parties are unable to resolve a dispute, then the parties hereby irrevocably submit such dispute to the jurisdiction of the courts of The British Virgin Islands.

• A Force Majeure Event includes without limitation each of the following: Government actions, the outbreak of war or hostilities, the threat of war, acts of terrorism, national emergency, riot, civil disturbance, sabotage, requisition, or any other international disaster, economic or political crisis, Act of God, earthquake, tsunami, hurricane, typhoon, accident, storm, flood, fire, epidemic or other natural disaster, labor disputes and lock-out, breakdown, failure or malfunction of any electronic network and communication lines (not due to our fault), any event, the circumstances of the entity that we cannot reasonably control, and the consequences of this event(s) are such that Zettahash’s support team is unable to take any reasonable action to correct the situation.
• The entire Agreement/assignment/these terms (and any additional terms, rules, and conditions of participation that the Company may post with respect to provision of the Zettahash token) constitute the entire Agreement between you and the Company with respect to the Zettahash token and supersedes any prior agreements, oral or written, between you and the Company. In the event of a conflict between these Terms and the additional terms, rules, and conditions of participation, the latter will prevail over the Terms to the extent of the conflict. We may assign these Terms to our parent company, affiliate or subsidiary or in connection with a merger, consolidation, or sale or other disposition of all or a substantial amount of its assets.
• The Company’s failure to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. If any provision of the Terms is found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
• You bear the sole responsibility to determine if your use of the Zettahash token and/or any other action or transaction you made have tax implications for you and for payment of all applicable taxes. By using the Zettahash token, and to the extent permitted by law, you agree not to hold us liable for any tax liability associated with or arising from the operation of the Company or any other action or transaction related to Zettahash.
• YOU ACKNOWLEDGE AND AGREE THAT YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE ZETTAHASH TOKEN. YOU ACKNOWLEDGE AND AGREE THAT ANY INFORMATION YOU SEND OR RECEIVE DURING YOUR USE OF ZETTAHASH TOKEN MAY NOT BE SECURE AND MAY BE INTERCEPTED OR LATER ACQUIRED BY UNAUTHORIZED PARTIES. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE ZETTAHASH GOVERNANCE TOKEN IS AT YOUR OWN RISK. RECOGNIZING SUCH, YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER THE COMPANY NOR ITS AFFILIATED PERSONS OR REPRESENTATIVES WILL BE LIABLE TO YOU FOR ANY INCIDENT, DIRECT OR INDIRECT, INCLUDING WITHOUT LIMITATION TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES OR ANY OTHER DAMAGES BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER DAMAGES RESULTING FROM THE SERVICE; THE USE OF THE ZETTAHASH GOVERNANCE TOKEN; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE Zettahash TOKEN; ANY ACTIONS WE TAKE OR FAIL TO TAKE AS A RESULT OF COMMUNICATIONS YOU SEND TO US; HUMAN ERRORS; TECHNICAL MALFUNCTIONS; FAILURES, INCLUDING PUBLIC UTILITY OR INTERNET OUTAGES; OMISSIONS, INTERRUPTIONS, LATENCY, DELETIONS, OR DEFECTS OF ANY DEVICE OR NETWORK, PROVIDERS, OR SOFTWARE; ANY INJURY OR DAMAGE TO COMPUTER EQUIPMENT; INABILITY TO FULLY ACCESS THE Zettahash TOKEN OR USE THE ZETTAHASH GOVERNANCE TOKEN; THEFT, TAMPERING, DESTRUCTION, OR UNAUTHORIZED ACCESS TO IMAGES OR OTHER CONTENT OF ANY KIND; DATA THAT IS PROCESSED LATE OR INCORRECTLY OR IS INCOMPLETE OR LOST; TYPING, PRINTING OR OTHER ERRORS, OR ANY COMBINATION THEREOF; OR ANY OTHER MATTER RELATING TO ZETTAHASH GOVERNANCE TOKEN.
